Preparation in collaboration with the management team of a marketing document (Information Memorandum) that will be distributed to potential partners following the signing of a representation letter;

Search for partners

Identification and selection of potential buyers on the basis of our network, our knowledge and their ability to value the Company and accompany it in the next stages of development;

Launch contacts with the potential partners you have selected

Contacts and discussions up to indicative offers

Transmission of the Memorandum of Information to potential partners. A cover letter may be attached to the Memorandum of Information to clarify the assignment procedure and the terms and conditions for submitting an indicative offer;

Receipt and analysis of indicative offers to select potential buyers selected for the next phase of the sale process.

Firm Offers and Finalization of the Transaction

Receipt and analysis of firm offers to select the preferred buyer potential for the exclusivity phase;

Assistance in the negotiation of the conditions of a transaction and in their materialization in contracts (contract of sale of shares and guarantees) alongside your lawyers.

Possible organizing of buyers and sellers meetings to discuss the buyer’s serious interest and give the opportunity to learn more about them

Receipt and analysis of Letters Of Interest (LOI )/ non binding offer 

Analysis of the terms and conditions, and discussion of the contingencies and reasons behind the offer

Receipt and analysis of firm offers 

Assistance in the negotiation of the conditions of a transaction and in their materialization in contracts (contract of sale of shares and guarantees) alongside your lawyers
